Doug has over 30 years of experience in all aspects of securities law, banking law, mergers and acquisitions and commercial law.

He regularly represents public companies and smaller businesses, including financial institutions, in connection with corporate governance issues, merger and acquisition transactions, securities and regulatory compliance, and commercial transactions. He also assists clients in public and private securities offerings, Blue Sky compliance and other financial matters.

Doug is a frequent lecturer on corporate matters including corporate governance and fiduciary responsibility matters, the Sarbanes-Oxley Act, bank regulatory and securities law issues, business formation, exit strategies, venture capital and other funding concerns, and commercial transactions. In 2005, he was appointed to the Treasury Board for the Commonwealth of Virginia by Governor Mark R. Warner and by Governor Tim Kaine. He was also a member of the committee that drafted the current Virginia Stock Corporation Act.

Doug has been repeatedly selected to Virginia’s “Super Lawyers” since 2006, and was recently recognized as Top Rated Securities & Corporate Finance Attorney (2016).  Additionally,  he has been repeatedly recognized by “The Best Lawyers in America” for his work in Banking & Finance Law, Corporate Law, Financial Services Regulatory Law, Mergers & Acquisitions Law, and Securities and Regulation; and  by Virginia Business Magazine’s “Legal Elite,” for Business Law.
